ARTICLE 1
NAME AND PURPOSE
Section 1.01. Name. The name of this organization is the Texas Partnership for Aeroscience Education;
a 501(c )(3) TPAE under the Internal Revenue Code.
Section 1.02. Purpose. The mission of the Texas
Partnership for Aeroscience Education is to promote the aerospace industry in Texas and to develop a diverse
and skilled labor force for the aerospace industry. Partnering entities will combine assets to leverage additional
funding and resources for aeroscience educational activities,
which will provide engaging project-based,
cross-disciplinary educational experiences for the students to promote engineering concepts and technical
proficiency, while building
critical thinking, project management, and problem solving skills.
ARTICLE 2
Membership
Section 2.01. Classes: There shall be four classes of members:
Section 2.02. Qualifications. Membership may be granted to any individual or TPAE that supports the mission and purpose of the organization as stated above.. Only Sustaining Members and Advisory Members are eligible to be nominated to the Board of Directors or the Executive Board of Directors.
Section 2.03. Termination of Membership. The Executive Board of Directors, with a quorum vote by the Board of Directors, may suspend or terminate the membership of any member who becomes ineligible for membership, or suspend or expel any member who shall be in default of certification requirements.
Section 2.04. Resignation. Any member may resign by filing a written resignation with the Secretary; however, such resignation shall not relieve the member so resigning of the obligation to pay any fees or other charges theretofore accrued and unpaid. In the event that the resignation of a sustaining member leaves one of the founding entities unrepresented, that entity will be notified and given three months to name a replacement to fill the vacancy. In the event that a founding entity should relinquish its seat, it will be incumbent upon the Board to fill the position with a representative entity with institutional goals and objectives as similar as possible to those of the departing entity.
Section 2.05. Dues. Certification fees and/or other fees for members shall be established by the Board of Directors as deemed necessary.
Section 2.06. Meetings: At least one meeting shall be held each year for the full membership of TPAE. A minimum of 10% of the members present in person or by proxy shall constitute a quorum for transaction of business at a membership meeting. Meetings may be called by the Chairperson, or at the request of at least 10% of the members, by notice emailed, mailed, telephoned, or faxed to each member not less than thirty (30) days before such meeting.
